Dear Pointe West Owner:

As you are probably aware, we have been working over the past few months to restructure our financialrelationships with our lending partners for Pointe West. This process has been difficult and much moretime consuming than we had hoped, and has involved steps in the process (such as the posting of the property for foreclosure) that, while an unavoidable part of the negotiations, undoubtedly created some anxiety for you and other owners.

We are pleased to let you know that we have successfully completed the restructuring negotiations. Our lending partners are 100% reinstated and are committed to completing the capital improvements that had previously been started and to the overall success of Pointe West.

From an ownership and operations standpoint, things remain the same at Pointe West; MDR Pointe West, LP still owns the property, TerraMesa Development Group will still operate the resort and PWH Hospitality will still operate the club facilities. But the restructured financial relationship does several things for Pointe West:

-it allows us to pay in full those vendors we were not able to pay during the restructure negotiations, and to get them back to work on projects started prior to the restructure;

-it provides us with new capital to continue infrastructure improvements;

-it better reflects the current economic realities, which in turn puts us on a much more secure financial footing moving forward.

We are very proud of our team and the way they pulled together to manage through this difficult time. It was due to their tireless efforts and commitment to Pointe West that the restructuring efforts were successful, and we cannot thank them enough. We hope that you understand that Terramesa is strongly committed to continuing to make Pointe West the special place that it is, and to growing the communityso that others can appreciate what we already know.

We would like to ask your help in getting the word out that Pointe West is once again on solid financialfooting and that the future for the resort looks bright. And if you know of anyone who you think would be interested in joining Pointe West community, please let us know.
